SRT Mining Group is committed to the highest standards of corporate governance. Effective governance underpins everything we do — from how we manage risk, to how we serve our communities, to how we deliver returns to SRT Group.

Governance Framework

SRT Mining Group's governance framework establishes clear accountabilities across the Board, management, and operational teams. It is designed to ensure we act with integrity in every decision we make — doing what is right, and doing what we say we will do.

As a wholly owned subsidiary of SRT Group, we operate under SRT Group's overarching governance policies and are subject to independent financial and ESG audit processes.

Board Oversight

The Board is responsible for setting strategic direction, approving major capital decisions, overseeing risk management, and ensuring the company operates in accordance with its values and legal obligations.

Committee Structure

Three Board committees provide focused oversight: the Audit & Risk Committee, the Environment, Safety & Sustainability Committee, and the Remuneration & People Committee. Each meets quarterly.

Management Accountability

The Managing Director & CEO is responsible for day-to-day management and reports directly to the Board. An Executive Leadership Team of seven members governs operational performance across all functions.

Risk Management

Our enterprise risk management framework is reviewed annually by the Audit & Risk Committee and the full Board. Material risks — including climate, tailings, First Nations, and cybersecurity — are monitored quarterly.

Business Integrity

A zero-tolerance approach to bribery and corruption is embedded across the business. All employees complete annual Code of Conduct and anti-bribery training. An independent whistleblower hotline is operated by Stopline.

Audit & Assurance

Financial statements are audited annually by an independent external auditor appointed by SRT Group. ESG performance data is independently assured by ERM Certification and Verification Services.

SRT Mining Group's Board brings together deep experience in mining, finance, and environmental governance. Together, they provide the strategic oversight and independent judgement that drives our long-term performance.

Non-Executive Chairman
Mr Chambers has served as Non-Executive Chairman of SRT Mining Group since 2019. He brings extensive experience in resource sector corporate governance, mergers and acquisitions, and capital markets, having previously held senior roles across the Australian mining industry. He chairs the Remuneration & People Committee.

Atulya Chaturvedi
Managing Director & Chief Executive Officer
Mr Chaturvedi was appointed Managing Director & CEO of SRT Mining Group in 2021. Under his leadership, the company has achieved 24 consecutive above-guidance production quarters and approved a $520M expansion programme. He previously held senior operational roles at major Pilbara mining operations.

Independent Non-Executive Director
Mr Webber is an independent non-executive director and chairs the Audit & Risk Committee. He has over two decades of experience in resource sector finance, treasury, and financial risk management. He is a Fellow of the Institute of Chartered Accountants Australia and New Zealand.

Margaret Frost
Independent Non-Executive Director
Ms Frost brings 24 years of environmental law and natural resources regulatory experience to the Board. She has advised on major resource project approvals across Western Australia, Queensland, and the Northern Territory, and led heritage and environmental compliance programmes for multiple Pilbara resource operators. She chairs the Environment, Safety & Sustainability Committee.

Non-Executive Director
Mr Nguyen is a Non-Executive Director appointed by SRT Group and serves as SRT Group's primary representative on the SRT Mining Group Board. He brings extensive experience in private investment, capital allocation, and portfolio management across the resources and infrastructure sectors. He is a member of the Audit & Risk Committee.

Priya Ramanathan
Independent Non-Executive Director
Ms Ramanathan is a corporate lawyer with specialist expertise in mining regulatory compliance, native title, and contracts. She has advised resource companies operating across Western Australia for over 18 years and brings a strong regulatory and risk perspective to the Board. She is a member of the Audit & Risk Committee and the Remuneration & People Committee.

Board Committees

Three Board committees provide focused oversight across audit and risk, environment and safety, and remuneration. Each committee meets at minimum quarterly and reports to the full Board. Committee charters are reviewed annually.
